Vendor Terms and Conditions

Welcome to OmiDrop Africa! These Terms and Conditions ("Terms") apply to vendors who use our platform to offer their services to customers. By registering and using our platform, you agree to these Terms. Please read them carefully.

1. Vendor Role and Responsibilities:

• Vendors are responsible for fulfilling all confirmed orders at the quantities, qualities, and timeframes specified by the platform or customers.
• Vendors must maintain accurate listings of their services and disclose all material information, including pricing, availability, and any specific service conditions.

2. Service Charge:

• An 11.5% service charge will be applied to each completed transaction made through the OmiDrop Africa platform.
• The service charge will be deducted automatically from the payment received for each transaction before remitting the remaining amount to the vendor.

3. Quality and Compliance:

• Vendors must ensure that their services meet all applicable quality and safety standards.
• Vendors are responsible for complying with all relevant laws and regulations related to their services.

4. Communication and Conduct:

• Vendors must use the platform's communication tools to coordinate with customers and drivers regarding service details.
• Vendors must not use customer or driver information for any purpose other than fulfilling orders through the platform.
• Vendors must promptly inform OmiDrop Africa and customers of any delays or issues in fulfilling orders.

5. Payments:

• Payments for completed orders, less the 11.5% service charge, will be remitted to vendors via their registered mobile money accounts (e.g., Mpesa) on file.
• Vendors are solely responsible for paying any applicable taxes on earnings received through the platform.

6. Termination and Suspension:

• OmiDrop Africa reserves the right to suspend or terminate a vendor's account at any time, for any reason.
• Upon termination, OmiDrop Africa will remit any earned payments owed via the vendor's registered payment method.

7. Independent Contractors:

• Vendors are independent contractors and not employees of OmiDrop Africa.
• OmiDrop Africa does not supervise, direct, control, or monitor vendors' work and is not responsible for the performance or delivery process.

8. Ownership of Infrastructure:

• All infrastructure, including passwords and access credentials provided to vendors, remain the property of OmiDrop Africa.
• Vendors must not share, transfer, or misuse any infrastructure provided by OmiDrop Africa.

9. No Agency:

• Nothing in these Terms shall be deemed to create an agency, joint venture, partnership, or employment relationship between OmiDrop Africa and vendors.

10. Non-Solicitation:

• Vendors agree not to solicit customers or drivers outside of the OmiDrop Africa platform.
• Vendors agree not to influence or persuade customers or drivers to cease using OmiDrop Africa's services or engage directly with vendors outside the platform.

11. Limitation of Liability:

• OmiDrop Africa is not responsible for the performance or actions of customers, drivers, or vendors.
• OmiDrop Africa explicitly disclaims all responsibility and liability for any health and safety issues experienced by customers from services provided through the platform.

12. Changes to Terms:

• OmiDrop Africa reserves the right to modify these Terms at any time. Vendors will be notified of any changes, and continued use of the platform constitutes acceptance of the modified Terms.

By registering as a vendor on OmiDrop Africa, you acknowledge that you have read, understood, and agree to these Terms and Conditions.
